1. Access and Use of Services

Sheeta AI provides an AI-powered SQL client with modern user experience that enables users to access their databases directly from local devices, organize multiple connections in a project, explore data with productive tools, manage project context in files and data table description, manage AI permissions, and analyze data using natural language interactions. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes.

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Attempt to gain unauthorized access to the Service or its related systems
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or disassemble any aspect of the Service

2. Eligibility

By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Payment Terms

Certain features of the Service require payment of fees. All fees are stated in U.S. dollars and are non-refundable except as expressly provided in these Terms. We reserve the right to change our pricing at any time, with notice provided to existing subscribers before changes take effect for their next billing cycle.

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Payment processing is handled by our third-party payment processor, and you agree to their terms of service.

5. Your Content and Data

You retain ownership of all data, files, database metadata, and other content you create or store in the Service ("Your Content"). All contents are stored locally on your device except AI queries, which are stored as logs in our backend system. By using the Service, you grant us permission to store and process those logs for service improvements.

You are solely responsible for Your Content and represent that you have all necessary rights to upload and use such content. We do not claim ownership of Your Content and will not use it for purposes other than providing the Service, except as described in our Privacy Policy and Data Use Policy.

6. Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is owned by Sheeta AI and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

7. AI-Generated Content

The Service uses artificial intelligence to generate suggestions, formulas, analyses, and other outputs based on your inputs. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You acknowledge that:

AI-generated outputs are provided "as is" without warranties of accuracy or completeness
You are responsible for reviewing and verifying any AI-generated content before relying on it
We are not liable for decisions made based on AI-generated content
AI capabilities may change or be updated without notice

We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

Upon termination, your right to use the Service will immediately cease, and we may delete your account and data in accordance with our data retention policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEETA AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU TO US IN THE SIX MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Sheeta AI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the Thai Arbitration Institute. The arbitration shall take place in Bangkok, Thailand, and shall be conducted in the Thai or English language. The arbitrator's decision shall be final and binding.

15. Miscellaneous

These Terms constitute the entire agreement between you and Sheeta AI regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. These Terms are governed by the laws of Thailand, without regard to conflict of law principles.
